Catalyst Circle – Terms & Conditions of Purchase

By purchasing or renewing a Catalyst Circle membership, submitting payment, or accessing membership benefits, you agree to these Terms & Conditions, which form a binding contract between you and Catalyst Circle.

Your participation in the community is also governed by the Catalyst Circle Members Agreement and—if applicable—the Connector Agreement. Together, these documents form the complete agreement between you and Catalyst Circle.

Definitions & Interpretation

In these Terms:

“Catalyst Circle”, “we”, “us” or “our” means Catalyst Circle Pty Ltd or the relevant operating entity listed on the Website.

“Member” or “you” means the individual or business purchasing or renewing a Catalyst Circle membership.

“Membership” means access to Catalyst Circle events, community platforms, content, credits, introductions, and related benefits as described on the Website at the time of purchase.

“Website” means https://catalystcircle.com.au and any related subdomains, including member portals.

“Services” means the membership-based services and benefits provided by Catalyst Circle from time to time.

Headings are for convenience only and do not affect interpretation.

1. Overview

Catalyst Circle memberships provide access to curated business events, brand-building opportunities, and a collaborative networking ecosystem as described on our Website at the time of purchase.

All prices are exclusive of GST and payable in Australian dollars.

Catalyst Circle reserves the right to accept, reject, suspend, or discontinue any membership application or renewal at its discretion.

2. Membership Types

Catalyst Circle offers:

  • Annual Membership (12 months) – full inclusions and privileges

  • Monthly Membership – paid monthly in advance, representing a commitment to the membership term

Inclusions are outlined on the Catalyst Circle Website and may evolve to improve member experience. Any updates apply on renewal or upgrade and do not apply retrospectively to the current paid term.

Monthly memberships are offered as a payment convenience only and do not constitute a trial or casual membership.

3. Activation Fee

A one-off activation fee may apply at the commencement of membership.

The activation fee covers onboarding, administrative setup, and access provisioning and is non-refundable once membership commences, regardless of cancellation or termination.

4. Nature of Membership & No Guaranteed Outcomes

Membership provides access to networking events, business visibility opportunities, and community platforms. Membership does not constitute professional, financial, legal, or business advice.

Catalyst Circle does not guarantee referrals, leads, revenue, business growth, partnerships, or commercial success. Outcomes depend on the member’s engagement, actions, and external factors beyond our control.

5. Payment Terms

5.1 Payment Structure

Membership fees may be paid:

  • Annually in advance, or

  • Monthly in advance, with each payment covering the upcoming month of membership.

Monthly memberships represent a commitment to the membership term unless cancelled in accordance with these Terms.

Time is of the essence for all payment obligations.

5.2 Accepted Payment Methods

  • Direct Transfer (Upfront): Payment via bank EFT. No surcharge applies.

  • Online Payment (PayPal, Stripe or similar): Online transactions incur a 2% processing fee.

  • Approved Manual Instalment Plans: Subject to approval only.

A $100 late payment fee applies per overdue instalment.

A 10% administration and handling fee applies to all approved manual payment plans.

5.3 Defaults & Suspension

If payment remains unpaid 45 days after the due date, membership may be terminated and all benefits forfeited.

While outstanding, access to events, credits, pitching slots, and portals may be suspended until the account is brought up to date.

Catalyst Circle may recover reasonable administrative or legal costs incurred in debt collection.

6. Refunds, Cancellations & Fees

6.1 Cancellation Notice

Membership may be cancelled by providing at least 30 days’ written notice to

thrive@catalystcircle.com.au.

6.2 Refund Eligibility (First 3 Months Only)

Refunds are available only within the first three (3) months of membership commencement.

Refunds apply only to prepaid unused membership periods and are calculated on a pro-rata basis, less a 20% administration fee.

No refunds apply to membership periods already commenced or completed.

After the first three (3) months, no refunds are available.

6.3 Monthly Membership – Cancellation Fee

For monthly memberships cancelled after the first three (3) months, a cancellation fee equal to 20% of the total membership value will apply.

This fee will be charged on the final monthly payment and reflects administrative costs and value already delivered.

Previously paid monthly fees are non-refundable.

6.4 Payment Plans During Cancellation

If cancellation occurs while balances remain outstanding:

 

  • All unpaid amounts become immediately due and payable

  • Refund eligibility is assessed only after all balances are cleared

6.5 Australian Consumer Law

Nothing in these Terms excludes, restricts, or modifies any rights you may have under the Australian Consumer Law or other applicable legislation.

7. Pausing Membership

Members may request to pause their membership for up to two (2) months in any 12-month period.

Pause requests must be submitted in writing at least one (1) month prior to the intended pause start date.

During a pause, access to benefits, events, and credits is suspended.

The membership term will automatically extend by the length of the approved pause.

Monthly payments will be suspended during the approved pause period. Annual memberships will be extended accordingly.

8. Renewal

Members must confirm renewal at least 30 days prior to the end of their membership term.

Renewal fees are charged at the pricing applicable at the time of renewal.

Failure to renew may result in loss of placement, pitching opportunities, or event allocation.

Where automatic renewal applies, you authorise Catalyst Circle to charge the renewal fee using the payment method on file unless cancelled in writing.

9. Event Credits & Reimbursements

Certain memberships include Catalyst Credits, redeemable toward approved offers presented by fellow members during live Pitch & Connect events.

Credits are issued at a rate of one (1) per calendar month, are non-transferable, have no cash value, and are forfeited if unused.

Catalyst Circle does not guarantee credit redemption, take-up, or sales outcomes.

Recipient Created Tax Invoices (RCTIs)

Where Catalyst Circle determines the amount payable for a credit redemption, Catalyst Circle may issue a Recipient Created Tax Invoice (RCTI) to the pitching member.

By participating in credit redemptions, pitching members agree:

  • not to issue their own tax invoice for the same supply;

  • to be registered for GST if required by law; and

  • to notify Catalyst Circle if their GST registration status changes.

Payment will not be processed without RCTI compliance.

Catalyst Circle’s role is administrative only and does not create a partnership, employment, agency, or merchant relationship.

10. Termination by Catalyst Circle

Catalyst Circle may suspend or terminate membership without refund, at its reasonable discretion, if a member:

  • fails to pay fees within 45 days;

  • breaches these Terms, the Members Agreement, or the Connector Agreement;

  • misuses member data or community access;

  • disrupts or harms other members; or

  • damages the Catalyst Circle brand or experience.

Termination revokes access to all membership benefits.

11. Limitation of Liability & Risk Acknowledgement

Members acknowledge that participation in events and networking involves inherent commercial and reputational risks.

To the maximum extent permitted by law, Catalyst Circle’s total liability is limited to the membership fees paid in the preceding 12 months.

Catalyst Circle is not liable for indirect, consequential, or loss-of-profit claims.

Members indemnify Catalyst Circle against claims arising from member-to-member interactions or credit redemptions.

12. Intellectual Property & Media Use

All Catalyst Circle materials are protected by intellectual property laws.

By submitting content, members grant Catalyst Circle a royalty-free, perpetual, worldwide licence to use that content for promotional or editorial purposes unless opted out in writing.

13. Photography, Recordings, Data & Privacy

Events may be photographed or recorded.

Attendance constitutes consent to reasonable use of media, directories, and sponsor communications.

Personal information is handled in accordance with the Catalyst Circle Privacy Policy.

14. Changes to Terms

Catalyst Circle may update these Terms from time to time. Continued membership constitutes acceptance of the updated Terms.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of South Australia.

Disputes must first be addressed through good-faith informal resolution or mediation before legal proceedings.

16. Entire Agreement & Acknowledgement

These Terms, together with the Members Agreement and any applicable Connector Agreement, constitute the entire agreement.

By completing your purchase, you confirm that you have read, understood, and agreed to these Terms.
